Agreement and Terms and Conditions for use of the GOprofessionals Directory and related services.

The agreement to use the GOprofessionals Directory, the GObookings AppointmentDiary and related services is between you  and Web By Design INC. of California.

Welcome to the User Agreement for GOprofessionals Directory. This agreement describes the terms on which Users and Consultants may access and use our GOprofessionals Directory and related services. In order to use GOprofessionals Directory and services you must read and accept all of the terms and conditions of this agreement. If you do not agree to be bound by the terms and information displayed, you may not use or access our services.

Web By Design INC reserve the right to modify this Agreement and terms and Conditions at any time, and without prior notice, by posting amended terms on this website. Your continued use of the GOprofessionals Directory and related services indicates your acceptance of the amended User Agreement.

What is the GOprofessionals Directory
GOprofessionals Directory is essentially an advertising directory for Consultants to list their services available as telephone consultations or face to face consultations for Users. Consultants advertise their services on the GOprofessionals Directory.

User and Consultants relationshipThe User of these services contracts with the Consultant and NOT Web By Design INC or their agents or partners.

The Consultants listed on the GOprofessionals Directory provide advice or services to the User. Web By Design INC do not endorse nor can guarantee the accuracy or veracity of that advice. Web By Design INC recommend a second or third opinion should be obtained. The User agrees to use the services listed on GOprofessionals Directory at their own risk.

The user of a Consultants services agrees to abide by this Agreement and Terms and Conditions and also the Terms and Conditions of the Consultant which may be displayed at the time of booking an appointment with that person.

Privacy of the User and the Consultant
Privacy will be respected and data will not be resold or made public by Web By Design INC or their agents or partners unless required by law. Unidentifiable statistical data in relation to the numbers of people using GOprofessionals Directory services may be used for technical and marketing purposes 

Duty of Care
Each Consultant or service listed on the GOprofessionals Directory is bound by laws of the state and country they practice in and their own professional standards, ethics and qualifications and as such, has a duty of care to supply the User with the best advice they can provide. Each Consultant may have their own terms of engagement which are displayed at the time of making an appointment under a link called Terms and Conditions.

Consultants Consultation Fee
If a refund is required by the User then you will need to recover the payment from the Consultant who provided you with the consultation. Web By Design INC will not provide a refund of a consultation fee, accept any claims or take any responsibility for what takes place between you the User and the Consultant.

No Guarantees
Web By Design INC states that the Consultants listed on the GOprofessionals Directory web site cannot be recommended or guaranteed in any way to provide correct advice. GOprofessionals Directory is merely a directory listing of Consultants available to provide advice to the User.

In Addition -

1.      Limited liability:  
Web By Design INC and their agents or partners will not be liable for any loss or damages:

      a) In regard to the firewall because third party providers of services such as networks, security systems and firewall maintenance are involved in the delivery of the system you agree to indemnify the Company for any claim directly or indirectly related to, based upon, attributable to or in consequence of any fact or circumstance arising from, or caused by loss of data or a breach in Computer Firewalls or Security Systems, the consequence of which may be (but not necessarily limited to) the following: Contamination by Computer viruses and or the manipulation, destruction, contamination, or loss of any computer data, or for any loss, in consequence of an unauthorized person gaining access to or copying data from any computer system or memory. This clause overrides anything else to the contrary which is expressed or implied in these Terms and Conditions;

      b) if the web site, AppointmentDiary or related services are not accessible for any reason;      

      c) in no circumstances will Web By Design INC or their agents or partners be liable to the User in relation to any special, indirect or consequential loss or damage.  

2.                On using this GOprofessionals Directory web site and its services, all Users and Consultants indemnify Web By Design INC and their agents or partners, its officers, representatives, employees and agents against any claim, demand, injury, direct or indirect damage, loss or cost, liability, right of action or claim for compensation in contract, under statute or in tort (including negligence) made against or suffered by any of those indemnified arising, in whole or in part, in relation to their use of the  GOprofessionals Directory, GObookings AppointmentDiary or related services.  

3.                Users and Consultants warrant that you have not relied on any representation made by the GOprofessionals Directory web site, GOprofessionals Directory, Web By Design INC or their agents or partners which has not been expressly stated in these terms and conditions, or upon any descriptions, illustrations or specifications contained in any web site, document including publicity material produced by Web By Design INC or their agents or partners. 

4.                  Users agree to use the services of the Consultants available for consultation at your own risk and will read and agree with their Terms and Conditions made available at the time of making the appointment before proceeding with the appointment and taking advice. You understand that the advice you receive is absolutely in all respects between you and the Consultant and you agree to not make any claims whatsoever on  Web By Design INC or their agents or partners.

5.                   Consultants understand and agree that they may not receive any appointments resulting from their GOprofessionals Directory listing as the concept is new and not guaranteed in any way to return results. Refunds of payments made are not possible. You agree to not make any claims whatsoever on Web By Design INC or their agents or partners.

6.                   These terms and conditions shall be governed by the laws of California, USA. Users and Consultants agree to submit to the exclusive jurisdiction of the courts exercising jurisdiction there. 

7.                Users and Consultants agree to be bound by these Terms and Conditions as well as the GObookings AppointmentDiary Terms and Conditions of use, as applicable for use of their online appointment system. 

8.                Consultants should also read the information relating to the guidelines for listings on the Listing Information page.

9.                Web By Design INC or their agents or partners may increase charges to the Consultants listing rates and charges at their discretion but will provide at least one months notice of doing so. The Consultant can cancel their listing at any time should they not approve of the change.

10.               Web By Design INC and their agents or partners takes no responsibility whatsoever for any claims made by the Consultant or their clients and it is a prerequisite to placing a listing on the GOprofessionals Directory that the Consultant providing the consultation must hold and maintain at all times appropriate professional indemnity insurance in place to cover any such situations.

11.              Should changes be required by a Consultant to the wording of a GOprofessionals Directory listing or for removal of a listing from a City category then a $50 charge will apply to cover the accounting costs of making that change and for alterations to the relevant  GOprofessionals Directory page.

12.               GOprofessionals is providing an exclusive advantage for its early adopter consultants. For the first 12 months there will be a limit of no more than 3 listings only, for each city, for each sub-category of consultancy service. No more than one listing will be added each year with a maximum cap of 6 listings. The numbers will be reviewed each year by WEB BY DESIGN INC and their partners/advisors and may or may not increase at their discretion.
